These Terms of Service ("Terms") govern your access to and use of this website, its content, and any products, programs, or services offered by Rebecca-Louise Inc ("we," "us," or "our"). By accessing this site, submitting a form, or engaging with any of our programs, you agree to these Terms. If you do not agree, please do not use this site.

1. Ownership & Copyright

This site, all of its content, and the entire AI Wellness system are the exclusive property of Rebecca-Louise Inc. This includes — but is not limited to — the following proprietary intellectual property:

The landing page design, layout, branding, color palette, typography, imagery, and visual identity.
The AI Wellness methodology and every framework, process, system, and concept taught inside Rebecca-Louise Inc programs.
The email sequences, scripts, and copywriting used across our marketing and customer journey.
The ManyChat flows, DM automations, and conversational scripts.
The coaching framework, training modules, call replays, and supporting curriculum.
All branded graphics, templates, workbooks, and visual assets.
The entire AI skill toolkit — including prompts, workflows, system instructions, and the software patterns that make it work.
Any written, recorded, or generated content produced by or for Rebecca-Louise Inc.

All trademarks, logos, and brand marks displayed on this site are property of Rebecca-Louise Inc or their respective owners and may not be used without permission.

2. Anti-Copying & IP Protection

No part of this site, system, methodology, or related materials may be copied, reproduced, distributed, sold, sublicensed, reverse-engineered, or used to create derivative works without express written permission from Rebecca-Louise Inc.

This includes copying page layouts, funnel structures, email copy, script language, coaching frameworks, AI prompts, graphic assets, or any component of the AI Wellness system in whole or in part. Substantial similarity to our proprietary work is infringement, even when specific words or pixels are changed.

Violations will be pursued to the full extent of the law, including injunctive relief, statutory damages under the U.S. Copyright Act, and recovery of attorneys' fees and costs. We actively monitor for infringement and reserve the right to issue DMCA takedowns and pursue civil action against bad actors.

3. Distributor Licensing

From time to time, Rebecca-Louise Inc may grant select Herbalife Independent Distributors a limited, revocable, non-transferable license to use specific components of the AI Wellness system in their own Herbalife distribution business ("Distributor License").

A Distributor License, where granted, is subject to the following conditions:

Limited use — The license is strictly for the licensee's own Herbalife distribution business. Licensed materials may not be used for any other business, venture, or client engagement.
No resale — Licensees may not resell, sublicense, give away, share, or otherwise transfer the licensed materials to any third party, including other distributors.
No rebranding — Licensees may not strip, replace, or modify the Rebecca-Louise Inc branding on licensed assets except as expressly permitted in writing.
No derivatives — Licensees may not create derivative works based on the licensed materials.
Revocable — Rebecca-Louise Inc may revoke the license at any time, with or without cause, by written notice. Upon revocation, the licensee must cease all use of the materials and delete or return all copies.

A Distributor License does not constitute a partnership, joint venture, employment, or franchise relationship. Licensees are independent operators and not agents of Rebecca-Louise Inc.

Rebecca-Louise Inc is operated by an Independent Herbalife Distributor, and opinions expressed are those of Rebecca-Louise Inc and not of Herbalife International.

5. Acceptable Use

You agree not to:

Use this site or our programs for any unlawful, fraudulent, or harmful purpose.
Attempt to interfere with, hack, scrape, or disrupt the site or its infrastructure.
Impersonate Rebecca Louise, Rebecca-Louise Inc, or any of our team members, licensees, or distributors.
Share login credentials for any paid program with non-enrolled individuals.
Use our content, name, or likeness to promote competing products, services, or network marketing companies.

6. Third-Party Links & Tools

This site may link to third-party websites, tools, or services (Kajabi, Netlify, ManyChat, Meta, Calendly, Herbalife, and others). We are not responsible for the content, practices, or policies of these third parties. Your use of any third-party service is governed by that service's own terms.

7. Payment, Refunds & Program Access

Specific program pricing, payment terms, refund policies, and access durations are outlined on each individual program's sales page and enrollment agreement. Those program-specific terms apply in addition to these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, Rebecca-Louise Inc, its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or business opportunity — arising out of or related to your use of this site, our programs, or any content.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to Rebecca-Louise Inc in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100), whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Rebecca-Louise Inc and its officers, employees, and contractors from and against any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your breach of these Terms, your misuse of our content or IP, or your violation of any applicable law.

10. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top of this page. Continued use of the site after changes are posted constitutes your acceptance of the revised Terms.
